PETITION FOR SANCTION OF SCHEME OF ARRANGEMENT / AMALGAMATION

The Petitioner respectfully submits:

1. That the Petitioner is a company_status incorporated under the Companies Act 2017, carrying on business of company_business.

2. That the Petitioner's Board of Directors, in its meeting held on board_meeting_date, passed a resolution approving a scheme of scheme_type with scheme_counterparty.

3. That the proposed scheme provides for scheme_particulars.

4. That the scheme has been approved by approval_percentage% of the members holding voting_percentage% of the voting shares as per the extraordinary general meeting held on egm_date.

5. That the scheme is fair and equitable to all stakeholders and complies with the requirements of Sections 279 to 283 Companies Act 2017.

6. That the scheme is in the interest of the company, its members, and creditors.

7. That all statutory and regulatory requirements for the scheme have been complied with, including approval from SECP.

8. That the scheme does not contravene the provisions of the Companies Act 2017 or any other applicable law.

9. That the consideration offered under the scheme to shareholders is fair and reasonable.

10. That the petitioner seeks the sanction of this Court for implementation of the scheme as required under Section 280 Companies Act 2017.

GROUNDS

1. The scheme has been approved by the requisite majority of members as required by law.

2. The scheme is fair and does not discriminate against any class of stakeholders.

3. The scheme complies with statutory requirements and SECP guidelines.

4. The scheme is in the interests of the company, members, and creditors.

5. The Court should sanction the scheme to give effect to the will of the majority of members.

PRAYER

It is, therefore, prayed that this Court may be pleased to:

(a) Sanction the scheme of scheme_type as detailed in the Scheme Document attached to this petition;

(b) Direct SECP to effect the scheme_consequence in its records;

(c) Direct all financial institutions to recognize and give effect to the scheme;

(d) Pass such further orders as may be deemed necessary for implementation of the scheme; and

(e) Award costs of this petition to the Petitioner.
