POWER OF ATTORNEY FOR BUSINESS MANAGEMENT
This Power of Attorney is made on poa_date
I, principal_name, son/daughter of principal_father, resident of principal_address, CNIC No. principal_cnic, NTN No. principal_ntn, being the proprietor / partner / director of business_name ("the Business"), having its principal place of business at business_address, do hereby appoint attorney_name, son/daughter of attorney_father, resident of attorney_address, CNIC No. attorney_cnic, as my true and lawful Attorney for the management of the Business.
AUTHORITY GRANTED
1. GENERAL MANAGEMENT: The Attorney is authorised to manage the day-to-day operations of the Business, including the conduct of all business affairs, supervision of premises and employees, and implementation of business plans approved by me.
2. CONTRACTUAL POWERS: The Attorney may enter into, modify, and terminate contracts on behalf of the Business in the ordinary course of business, including (a) purchase and supply contracts up to a value of Rs. contract_threshold per transaction; (b) employment contracts for non-executive positions; (c) service contracts and consultancy engagements; (d) lease and rental agreements; and (e) routine commercial agreements with customers and suppliers.
3. EMPLOYEE MANAGEMENT: The Attorney may (a) hire, supervise, discipline, and terminate non-executive employees in accordance with the Standing Orders Ordinance 1968 and applicable labour law; (b) determine wages, allowances, and benefits within the Business's policies; (c) approve leave, advances, and routine HR decisions; and (d) sign employment contracts and termination letters.
4. BANKING AND FINANCE: The Attorney may operate the Business's bank accounts, sign cheques and instruments, make payments to suppliers, employees, and statutory authorities, and conduct routine banking, subject to a per-transaction limit of Rs. banking_threshold.
5. TAX AND STATUTORY MATTERS: The Attorney is authorised to file tax returns (income tax, sales tax, withholding tax) and statutory returns (EOBI, social security, SECP filings) on behalf of the Business, sign tax documents, attend hearings before tax authorities, and handle correspondence with FBR / Provincial Revenue Authorities / SECP.
6. CUSTOMER AND SUPPLIER RELATIONS: The Attorney may negotiate with customers and suppliers, issue invoices, collect receivables, settle accounts, manage credit, and resolve commercial disputes within the ordinary course.
7. PROPERTY AND ASSETS: The Attorney may purchase, lease, and dispose of routine business equipment and supplies, but shall not sell, mortgage, or dispose of any immovable property or major capital asset without my prior written consent.
8. LITIGATION POWERS: The Attorney may institute, defend, settle, or compromise legal proceedings on behalf of the Business in the ordinary course, engage lawyers, sign vakalatnama, and represent the Business before courts and tribunals.
9. EXCLUSIONS: This Power of Attorney does not authorise the Attorney to (a) sell or dispose of the Business or any major part thereof; (b) borrow money exceeding Rs. borrowing_cap in the name of the Business; (c) execute any guarantee on behalf of the Business; (d) make any change to the legal structure of the Business; (e) admit any new partner / shareholder; or (f) make any donation or gift on behalf of the Business.
10. DUTY TO ACCOUNT: The Attorney shall maintain proper books of account and records of all business transactions and shall provide me with monthly financial statements and operational reports.
11. DURATION: This Power of Attorney shall be effective from effective_date and shall continue until expiry_date or until revoked by me in writing.
12. REVOCATION: I reserve the right to revoke this Power of Attorney at any time by giving written notice to the Attorney and to relevant counterparties. Transactions completed before notice of revocation shall remain valid.
13. RATIFICATION AND INDEMNITY: I ratify all acts lawfully done by the Attorney within the scope of this Power of Attorney and undertake to indemnify the Attorney against any loss arising from bona fide exercise of authority.
14. NO SUBSTITUTION: The Attorney shall not delegate or substitute any other person for the powers granted herein, save for routine ministerial acts that may be delegated to subordinate employees.
15. NOTARISATION AND STAMP DUTY: This Power of Attorney shall be executed on stamp paper of the prescribed value and shall be notarised in accordance with the Powers of Attorney Act 1882.
16. GOVERNING LAW: This Power of Attorney shall be governed by the laws of the Islamic Republic of Pakistan.
