COMMERCIAL TENANCY / RENT AGREEMENT
This Tenancy Agreement is made on agreement_date
BETWEEN: landlord_name, son/daughter of landlord_father, resident of landlord_address, holder of CNIC No. landlord_cnic ("the Landlord") AND: tenant_name, son/daughter of tenant_father / a company / firm having its registered address at tenant_address, holder of CNIC / NTN No. tenant_cnic_ntn ("the Tenant")
PROPERTY AND TERMS
1. DEMISED PREMISES: The Landlord hereby lets out to the Tenant, and the Tenant hereby takes on rent, the commercial premises more particularly described as follows: property_description, situated at property_address, comprising covered area of covered_area square feet ("the Demised Premises").
2. PURPOSE: The Demised Premises shall be used by the Tenant solely for the purpose of permitted_use and for no other purpose. The Tenant shall not change the user without the prior written consent of the Landlord.
3. TERM: The tenancy shall be for a period of tenancy_years years, commencing on commencement_date and ending on end_date, with an option to renew for a further period of renewal_years years on mutually agreed terms, subject to written notice not less than ninety days before expiry of the initial term.
4. MONTHLY RENT: The Tenant shall pay to the Landlord monthly rent of Rs. monthly_rent, payable in advance on or before the rent_payment_date day of each English calendar month, by direct bank transfer to the Landlord's account No. landlord_account maintained at landlord_bank, or by post-dated cheques as may be agreed.
5. RENT ESCALATION: The monthly rent shall stand increased automatically by annual_escalation_pct per cent at the end of each completed year of tenancy, computed on the rent payable in the immediately preceding twelve months.
6. SECURITY DEPOSIT: The Tenant has paid to the Landlord, on the date of execution of this Agreement, a refundable security deposit equivalent to deposit_months months' rent, in the sum of Rs. deposit_amount, by way of pay order / demand draft No. deposit_instrument_number. The Landlord shall hold the deposit interest-free during the tenancy and refund the same to the Tenant on expiry, less lawful deductions for unpaid rent, utility bills, or damages beyond ordinary wear and tear.
7. UTILITIES AND MAINTENANCE CHARGES: The Tenant shall, at its own cost, pay all charges for electricity, gas, water, sewerage, internet, telephone, and any other utility consumed at the Demised Premises during the tenancy. The Tenant shall also pay maintenance charges of Rs. maintenance_charges per month to the building / society management.
8. PROPERTY TAX AND MUNICIPAL CHARGES: Property tax, ground rent, and other municipal charges in respect of the Demised Premises shall be the responsibility of the Landlord. The Tenant shall pay any tax or charge specifically attributable to the use of the premises by the Tenant or to the Tenant's business activity.
9. CONDITION OF PREMISES: The Demised Premises are let out in their present condition, which the Tenant has inspected and found satisfactory. A schedule of fixtures and condition of the premises is annexed as Schedule A.
10. ALTERATIONS AND IMPROVEMENTS: The Tenant shall not make any structural alterations, additions, or improvements without the prior written consent of the Landlord. Such consent shall not be unreasonably withheld for non-structural fit-out works essential to the Tenant's permitted use, subject to the Tenant's obligation to restore the premises to original condition on termination.
11. REPAIRS: The Landlord shall be responsible for major structural repairs (roof, walls, foundation, main plumbing, main electricity supply). The Tenant shall be responsible for routine maintenance, minor repairs, and any damage caused by the Tenant or its employees, agents, or visitors.
12. SUBLETTING AND ASSIGNMENT: The Tenant shall not sublet, transfer, assign, or part with possession of the Demised Premises in whole or in part without the prior written consent of the Landlord, which consent shall not be unreasonably withheld.
13. INSURANCE: The Tenant shall obtain and maintain at its own cost insurance covering its goods, fittings, equipment, and third-party liability in respect of the Demised Premises in the sum of not less than Rs. insurance_cover, and shall provide a certificate of insurance to the Landlord annually.
14. INDEMNITY: The Tenant shall indemnify the Landlord against any claim, demand, action, or liability arising out of the Tenant's use of the Demised Premises, save where caused by the Landlord's negligence or breach of this Agreement.
15. EARLY TERMINATION: This Agreement may be terminated before the expiry of the term as follows: (a) by mutual agreement in writing; (b) by the Landlord on three months' notice for the Landlord's bona fide personal use, or for material breach by the Tenant; (c) by the Tenant on six months' notice; or (d) automatically on destruction of the premises by force majeure that renders the premises uninhabitable.
16. SURRENDER: On expiry or termination, the Tenant shall peacefully surrender vacant possession of the Demised Premises to the Landlord in the same condition as at the commencement, ordinary wear and tear excepted, with all keys handed over and all utilities settled.
17. EJECTMENT: In the event of breach of this Agreement by the Tenant, the Landlord shall be entitled to seek ejectment under the Punjab Rented Premises Act 2009 (or analogous provincial law) before the Rent Tribunal / Special Court constituted thereunder, in addition to any damages.
18. STAMP DUTY AND REGISTRATION: This Agreement shall be executed on stamp paper of the appropriate denomination under the Stamp Act 1899. The parties shall, where the term exceeds twelve months, register this Agreement with the Sub-Registrar in accordance with the Registration Act 1908. Stamp duty and registration fees shall be borne stamp_duty_responsibility.
19. NOTICES: All notices shall be in writing and delivered by registered post / courier / email to the addresses set out above, with copy to the Landlord's lawyer / Tenant's authorised representative as applicable.
20. GOVERNING LAW AND JURISDICTION: This Agreement shall be governed by the laws of the Islamic Republic of Pakistan. Disputes shall be subject to the jurisdiction of the Rent Tribunal / Special Court at jurisdiction_city.
